Whether or not signed this document sets out the Terms and Conditions which shall apply to the provision of all services undertaken by In Out Solutions, (in this document referred to as “us”, “we” or “our”, as appropriate) to customers (in this document referred to as “you” or “your”).
1. General
A contract with the Terms and Conditions set out below comes into being when an order is placed with us and when we accept that order (whether by starting work or otherwise). These Terms and Conditions shall override any Terms and Conditions which you may propose, unless agreed in writing by our duly authorized signatory before items are received for performance of the services requested.
2. Quotations
All quotations for services are valid for 30 days. Unless otherwise stated. Any quotation may be withdrawn or amended and shall lapse if not accepted in writing within 30 days of the quotation date.
3. The Contract
All orders are accepted by us only under these Terms which may not be altered except with the written agreement of a Company Signatory. Any contrary or additional terms unless so agreed are excluded.
Orders may be cancelled only with the written agreement of a Company Signatory and the client will indemnify us against all losses damages costs and expenses we incur as a result of that cancellation. Unused Goods will be accepted for return at our discretion and on terms agreed with us.
4. The Prices
Unless otherwise expressly stipulated quoted prices are liable to alteration without notice in the event of any alteration in the manufacturers prices, materials, labour sub-contract and transportation costs due to any cause beyond our control during the continuance of the contract.
5. Payment Terms
Invoiced amounts shall be due and payable within 30 days of receipt of invoice.
In all contract we reserve the right to charge 8% interest per month on all outstanding invoices.
You shall notify us of any invoice or delivery note discrepancy within 7 days of receipt to enable corrective action to be taken as soon as practicable.
6. Installation
The site must be clear, level & with good access together with a suitable electrical power supply and adequate lighting levels to be provided at all times.
The site is ready at the agreed time for installation to commence.
If we agree to undertake the installation of Goods supplied by us we reserve the right to instruct or employ a sub contractor of our choice for that purpose.
7. Law
The construction validity and performance of these Terms and Conditions and any contract incorporating these Terms and Conditions shall be governed by the Laws of England and the English Courts shall have exclusive jurisdiction.
